Fatores Invest is a technology and innovation group that operates on two main fronts:

• Software development: creation of high-quality mobile and web applications through our development studios, including Emidium.Science
• Technology investment: strategic investment in transformative technology projects and visionary founders in Brazil

Our services include, but are not limited to:

• Web platforms and mobile applications
• Authentication and account management services
• Management tools and dashboards
• APIs and integration services
• Informational and educational content about technology and investments

We reserve the right to modify, suspend, or discontinue any part of the services at any time, with or without prior notice.

3. Registration and Account

To access certain services, you may need to create an account. By registering, you agree to:

• Provide true, accurate, current, and complete information
• Maintain and update your registration information
• Keep your password and access credentials confidential
• Notify us immediately in case of unauthorized use of your account

• Impersonating another person or entity, or falsely stating your affiliation with any person or entity
• Publishing or transmitting defamatory, obscene, threatening, discriminatory content, or content that violates third-party rights

Violation of these rules may result in the immediate suspension of your account and applicable legal action.

6. Intellectual Property

All intellectual property rights related to Fatores Invest's services, including but not limited to software, design, logos, trademarks, text, graphics, images, videos, and other content, are the exclusive property of Fatores Invest or its licensors.

Your use of our services does not grant you any right, title, or interest in Fatores Invest's intellectual property, except for the limited right to use the services in accordance with these Terms.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the services for personal, non-commercial purposes, subject to compliance with these Terms.

7. Privacy and Data

Your use of our services is subject to our Privacy Policy, which describes how we collect, use, store, and protect your personal data.

By using our services, you acknowledge and agree to the data processing practices described in our Privacy Policy, which forms an integral part of these Terms.

Fatores Invest does not warrant that:

• The services will be uninterrupted, secure, or error-free

• Any defects in the services will be corrected
• The services will meet all your needs or expectations

Your use of the services and any information obtained through them is at your own risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Fatores Invest, its directors, employees, agents, and partners shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, reputation, or other intangible losses
• Damages arising from access to or use of (or inability to access or use) the services

In no event shall Fatores Invest's total liability exceed the total amount paid by you to Fatores Invest in the 12 (twelve) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Fatores Invest, its directors, employees, agents, and partners from any claims, damages, losses, costs, and expenses (including attorney's fees) arising from:

• Your use of the services
• Your violation of these Terms
• Your violation of third-party rights
• Any content you publish or transmit through the services

12. Termination

You may close your account at any time by contacting us or using the functionalities available within the services.

Fatores Invest may suspend or terminate your access to the services at any time and without prior notice if:

• You violate any provision of these Terms
• Your use of the services poses a security risk to us or other users
• It is required by law or court order
• The account remains inactive for an extended period

Upon termination, your right to use the services will cease immediately. Provisions of these Terms that, by their nature, should survive termination will remain in effect.

13. Changes to the Terms

Fatores Invest reserves the right to modify these Terms at any time. When we make significant changes, we will notify you through our services, by email, or by other reasonable means.

Your continued use of the services after the publication of changes constitutes your acceptance of the modified Terms. If you do not agree with the changes, you must discontinue use of the services.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil.

The courts of the jurisdiction where Fatores Invest is domiciled in Brazil are hereby elected to resolve any disputes arising from these Terms, with express waiver of any other jurisdiction, however privileged it may be.

The parties agree to seek, preferably, an amicable resolution of any disputes before resorting to the judiciary.

15. General Provisions

• Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fatores Invest regarding the use of the services.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: The failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Fatores Invest.
• Notices: All communications regarding these Terms must be sent in writing to the channels indicated in the contact section.
